Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions (“Terms”) govern your participation in the Willo 32, Inc Affiliate Program (“Program”). By signing up for or participating in the Program, you agree to be bound by these Terms.
1. Eligibility
To participate, you must be at least 18 years old and have an active PayPal account. Willo 32, Inc reserves the right to approve or reject any affiliate application at its sole discretion.
2. Commission and Payment
Affiliates will receive a commission for each qualifying referral. A “qualifying referral” is defined as a new customer who completes a purchase through your unique referral link or code and does not cancel or return the product within 30 days of the purchase date.
Commissions are only paid on completed, non-returned purchases.
Commission payments will be made monthly via PayPal, provided your balance exceeds the minimum threshold of $20.
Affiliates are responsible for maintaining accurate PayPal details in their affiliate profile. Willo 32, Inc is not responsible for missed or failed payments due to incorrect or outdated information.
Affiliates are solely responsible for any taxes related to commission payments.
3. Prohibited Activities
Affiliates agree not to:

Engage in misleading, deceptive, or unethical marketing practices

Make false claims about Willo products

Use referral links for self-purchases or purchases by close friends or family members made with the intent to generate commissions

Use paid advertising to bid on the Willo 32, Inc brand name or any variation thereof without prior written approval

Post referral codes or links to unauthorized coupon or deal-sharing websites
4. Disclosure Requirements
Affiliate agrees to clearly disclose their relationship with Willo 32, Inc when promoting Willo products and using affiliate links or codes.
This disclosure must be:

Clear and conspicuous

Placed within the content, caption, or post itself

Easy for viewers to notice and understand
Acceptable disclosures include:

#affiliate

#sponsored

“I earn commission from purchases made through my link or code”
When available, affiliates should also use platform disclosure tools such as “Paid Partnership” labels.
Affiliate agrees to comply with all applicable laws, regulations, and platform policies, including guidelines from the Federal Trade Commission.
Failure to comply with disclosure requirements may result in removal from the Program and forfeiture of unpaid commissions.
5. Intellectual Property
Willo 32, Inc grants affiliates a limited, non-exclusive, revocable license to use its trademarks and approved marketing assets solely for purposes of promoting Willo products in connection with this Program. All other rights are reserved.
6. Program Changes and Termination
Willo 32, Inc reserves the right to:

Modify these Terms or any part of the Program at any time, with or without prior notice

Terminate or suspend any affiliate’s participation in the Program at any time and for any reason, including but not limited to violation of these Terms or behavior deemed harmful to the brand or business
7. Limitation of Liability
Willo 32, Inc shall not be liable for any indirect, incidental, special, or consequential damages arising in connection with your participation in the Program, including loss of revenue, profits, or data.
8. Indemnification
You agree to indemnify, defend, and hold harmless Willo 32, Inc and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your participation in the Program

Your promotional activities

Your violation of these Terms

Your failure to comply with applicable laws or disclosure requirements
9. Independent Contractor
You acknowledge and agree that you are acting as an independent contractor. Nothing in these Terms shall create any partnership, joint venture, agency, franchise, or employment relationship between you and Willo 32, Inc.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
